Onteigo Referral Program T&Cs

Completing a referral is deemed to be confirmation of having read and accepted these terms and conditions. 

 

These rules and any other rules specified by Onteigo Ltd (Hereinafter referred to as “Onteigo”) from time to time (“Referral Rules”) apply to any Referral. By participating in a Referral, you agree to be bound by the Referral Rules and by the decisions of Onteigo which are final in all matters relating to the Referral. Onteigo reserves the right to negate any referral in its absolute discretion for any reason and without notice in accordance with the Referral Rules. For the purposes of this Referral Program, A “Referral” is the introduction of a company or a company contact to Onteigo by an individual or existing client, in accordance with the Referral Rules. A “Referrer” is a person or company that refers a company to Onteigo. A “Referred Company” is a company that is being referred by a Referrer. A Referred Person is the person(s)/contact(s) provided by the Referrer as the point of contact for the Referred Company.

 

Overview

 

This Referral Program is part of a lawful customer acquisition strategy, the referral incentive is provided solely as a marketing initiative, designed to help Onteigo win new customers via introductions from “Existing Customers” and “Advocates" and does not grant any preferential treatment to, or from, any party involved. Participation in the Referral Program does not create an employment or agency relationship between Onteigo and the Referrer. Existing Customers are companies that are already customers of Onteigo. Advocates are individuals who are not existing customers of Onteigo. Both Existing Customers and Advocates may be referred to as "Referrer".

Onteigo agrees to award £500 including VAT where applicable (the “Referral Fee”), to the Referrer, for a Referred Company that signs up with Onteigo (12-month contract) and becomes a customer. There is only one Referral Fee paid for each Referred Company. To make a valid referral, you must complete and submit the Onteigo Referral Webform found at www.onteigo.com/referrals OR, you can email referrals@onteigo.com with the following details of the company you are referring: company name, company URL, company contact’s full name, company contact’s email address, brief description of business. Alternatively, a Referred Person may engage with Onteigo directly by quoting a unique referral code or link that has been pre-assigned to the Referrer by Onteigo. Any such engagement will be treated as a valid referral provided that the referral code or link can be reasonably attributed to the Referrer in Onteigo’s records.

Referral Fee

​

Referrals made by Existing Customers:

• Onteigo will deduct £500 (inc. VAT) from the Referrer's monthly subscription fees.​

Referrals made by Advocates:

• Onteigo agrees to award a Referral Fee of £500 (inc. VAT) to the Referrer​

Payment Conditions

​

Referrals made by Existing Customers: 

• The credit note (Referral Fee) will be applied for the billing month following the Referred Company’s commencement date.

• Referral credits cannot exceed the total contract value of the Referrer’s subscription with Onteigo. Where the Referral Fee exceeds the Referrer’s remaining contract value, no cash payment or alternative compensation will be provided for the balance.

Referrals made by Advocates:

• The Referral Fee will be paid to the Referrer via BACS within 30 days after the Referred Company has paid their first monthly subscription invoice.

Referrals will only be eligible if the Referred company is not already in conversation with Onteigo via any other channel. The Referred Company must enter into the contract to become a customer of Onteigo within twelve (12) weeks of a Referred Company being contacted by Onteigo. If the Referred Company terminates the contract before paying their first monthly subscription invoice, the Referrer will not be entitled to receive the Referral Fee. All payments are discretionary. Onteigo reserves the right to change payment terms in the future.

In the event that Onteigo is (for whatever reason) unable to provide the indicated Referral Fee for a successful Referral, then the Referrer will receive a substitute referral reward/gift of commensurate value subject to these same terms and conditions.

Referral Process

​

The Referrer shall provide Onteigo with the contact details and all relevant information of the Referred Company in the webform or via email as set out in the overview. Alternatively, a Referred Person may engage with Onteigo directly by quoting a unique referral code or link that has been pre-assigned to the Referrer by Onteigo. Any such engagement will be treated as a valid referral provided that the referral code or link can be reasonably attributed to the Referrer in Onteigo’s records. Onteigo will review the referral and, if the Referred Company meets the conditions, Onteigo will notify the Referrer of the successful referral. At this point, Advocates will be requested to provide their bank details solely for the purpose of processing the Referral Fee via BACS. If a Referred Company is sent by multiple Referrers, whichever Referrer submitted the Referral first will be deemed as the Referrer. Webform submissions and responses will be tracked internally by Onteigo. Referrals will be deemed as ineligible if an existing customer refers to their own franchisee or a new location of a group that is already an existing customer.

Tax Obligations

​

The Referrer acknowledges that the Referral Fee constitutes taxable income and agrees to report it as required by law to HMRC or whichever tax authority is applicable to them. Onteigo will not be responsible for any tax obligations related to the Referral Fee.

Confidentiality

​

The Referrer agrees to keep confidential any proprietary or confidential information received from Onteigo during the referral process.

Governing Law

​

These Referral Rules and each Referral are governed by English law. Any disputes arising between Onteigo and any third party in relation to these Referral shall be subject to the exclusive jurisdiction of the courts of England and Wales (save that Onteigo shall be entitled to take action against a third party in any other jurisdiction). If any of these rules are deemed to be illegal, invalid or otherwise unenforceable, the affected rules shall be deleted from these Referral Rules but the remaining rules shall continue in full force and effect.

Data Protection

​

The Referred Company and/or Referred Person must be notified and have consented to their details being passed to Onteigo under this scheme before the date of the Referral. This is the responsibility of the Referrer and is subject to the UK General Data Protection Regulation (GDPR) and/or any other applicable data protection laws. The Referrer will indemnify Onteigo for any loss or claim arising out of the Referrer's failure to procure such consent. The Referrer may be named in communication between Onteigo and the Referred Company. Onteigo will retain appropriate records of referrals and payments made under this Program for compliance and tax purposes. Referrers are solely responsible for declaring referral fees as income to HMRC and maintaining their own personal tax records.

Other Terms

​

By submitting a referral, the Referrer confirms that they have obtained any necessary permissions from their employer to participate in this referral program and to receive the incentive. The Referrer also acknowledges and confirms that their participation does not create a conflict of interest or breach any contractual or legal obligations they are bound by. The Referred Company shall be informed by the Referrer, that the Referrer may receive a referral incentive as part of this Referral Program. Onteigo reserves the right to withhold or reclaim referral rewards in cases of fraudulent or abusive referrals, including simulated, self- or duplicate referrals. The Referrer will indemnify Onteigo for any loss or claim arising out of the Referrer's negligence or failure to comply with their contractual or legal obligations.

Onteigo reserves the right to amend terms and conditions at any time. Any amendments will be clearly communicated in writing to all parties concerned. Onteigo reserves the right to terminate or suspend the “Onteigo Referral Program” at any time, for any reason.

Dispute resolution

​

In the event of a Referrer not receiving a Referral Fee, a claim must be raised for consideration to referrals@onteigo.com within 120 days of the referral form submission. Any claims made after 120 days will not be eligible for a Referral Fee.

In the event of any dispute regarding these Terms and Conditions, the rules of the “Onteigo Referral Program”, conduct, results and all other matters relating to the “Onteigo Referral Program”, the decision of Onteigo shall be final and no correspondence or discussion shall be entered into.
